Terms and Conditions

INFINIX’S WEBSITE (THE “SITE”) AND THE PRODUCTS OFFERED THROUGH IT FROM TIME TO TIME (THE “SERVICES”) ARE PROVIDED TO YOU BY NOBIO LTD. ("NOBIO", "WE", "US", OR "OUR"), SUBJECT TO THESE TERMS AND CONDITIONS (AS AMENDED FROM TIME TO TIME, THE “TERMS”) AND TO OUR PRIVACY POLICY[add as link].

 

BY USING OR ACCESSING THE SITE, OR PURCHASING THE PRODUCTS, YOU AGREE TO BE BOUND BY THE TERMS AND BY OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO BE FULLY BOUND BY THESE TERMS, PLEASE DO NOT USE NOR ACCESS THE SITE OR PURCHASE THE PRODUCTS. YOU SHOULD READ THROUGH ALL THE TERMS CAREFULLY AS THEY CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND US.

 

PLEASE NOTE THAT WE RESERVE THE RIGHT, AT OUR SOLE DISCRETION, TO REVISE THESE TERMS, AT ANY TIME WITHOUT PRIOR NOTICE.

 

  1. Medical Disclaimer. The Products sold on this Site are intended for use by licensed dental professionals only. Information provided on the Site is for general informational purposes and is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider for any questions regarding dental procedures or products. You agree that any use of the Products by you, is made at your own discretion, and that you will be solely responsible for any resulting consequences. Use of the Products must comply with all applicable local regulations and licensing requirements.

  2. Products

    1. You may order dental supplies (“Products”) from the Site. Nobio will supply such Products in accordance with these Terms.

    2. Nobio does not guarantee the availability of Products or specific delivery dates. However, Nobio will use commercially reasonable efforts to ship products within the agreed-upon timeframes. Shipping costs and applicable taxes will be calculated at checkout.

    3. Unless otherwise agreed in writing, shipping terms are FOB Nobio's point of shipment. Title to and risk of loss for the Products will pass to you upon delivery of the Products to the shipping carrier. At that point, you will be deemed the owner of the Products and assume all associated risks.

    4. You may request expedited shipping for your order; if available, Nobio will charge you the applicable expedited shipping rates in effect at the time of your request. Please note that expedited shipping may not be available for certain Products.

    5. You are responsible for all applicable fees related to the shipping of hazardous materials, including any carrier surcharges. Nobio will invoice you for these charges. A shipping charge will apply to weight-sensitive items

  3. ACCESS AND REGISTRATION

    1. You may purchase the Products only if you are of 18 years or older. By accessing the Site you represent that you are at least 18 years of age, and agree to provide accurate, current and complete information about yourself as required and to maintain it accurate, current and complete.

    2. In order to purchase the Products through the Site, you may first be required to register and create an account, and\or to fill out certain details regarding the purchase you wish to make and\or yourself. When you provide such details, you accept and acknowledge that the information you provide through registration and use of the Site will be collected, stored, processed and shared by us, and\or by third parties, in accordance with our Privacy Policy.

    3. We reserve the right to decline to provide the Products to any person or entity for any or no reason.

    4. You are solely responsible for your account activity and\or your use of the Site.

  4. PAYMENT METHOD AND PAYMENT INFORMATION

    1. In order to make purchases through the Site, you must be equipped with a current, valid, accepted credit card (“Payment Method”). We may update the accepted payment methods from time to time. We use an External Clearance Company to facilitate the transaction and payment, which are made directly through External Clearance Company’s webpage, where you will be asked to fill in the payment information directly. After the payment process is complete, an invoice will be sent directly to your registered e-mail account. Unless otherwise specified on the applicable Site (for example, where online payment is accepted), we will invoice you for the Products. All invoices will be deemed accepted by you unless you notify us in writing of any dispute within ten (10) days of receiving the invoice. You agree to pay all shipping and handling, associated with your purchase. All invoices are payable net thirty (30) days from the invoice date unless otherwise stated. You may not make any deductions, set-offs, or chargebacks without prior written approval by Nobio.

    2. The Price for each Product may be updated and revised from time to time. 

    3. Nobio’s fees and charges do not include any sales, use, excise, or similar taxes, levies, or duties applicable to the Products (“Taxes”), except for taxes based on Nobio’s net income. You are responsible for paying all such Taxes. In the event Nobio is legally required to pay or collect any Taxes for which You are responsible, you must promptly reimburse Nobio for the appropriate amount, unless You provide Nobio with a valid and current tax exemption certificate or direct pay certificate authorized by the relevant taxing authority.

  5. OWNERSHIP

    1. The Site, including without limitation the compilations (meaning the collection, arrangement and assembly) and method of presentation of the information and data provided through the Site, as well as the underlying technology and platforms of the Site, are proprietary property of Nobio. Nobio’s trademarks, slogans, service marks, trade names, and trade dress which appear via the Site and the Products are property of Nobio. All intellectual property rights in and to the Products themselves, including any embedded antimicrobial technology or proprietary components, are and shall remain the sole property of Nobio or its licensors.

  6. RESTRICTIONS AND UNDERTAKINGS

    1. You shall be solely responsible for the content you transmit or submit or upload through the Site, which may include: (i) personal identity details such as full name, ID number, address etc.; (ii) contact details; (iii) details relating to the purchase you wish to make; and (iv) any other information provided by you (“User Content”). You expressly agree that your User Content will: (1) be true, complete and accurate, and (2) will not be inappropriate or unlawful and will not infringe upon any third-party rights.

    2. You may not copy, decompile, reverse engineer, disassemble, modify, create derivative works of the underlying software and platforms of the Site and Products, and may not allow any third party such actions. You may not remove, alter or obscure any copyright, trademark or other proprietary rights notice. You may not use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index any portion of the Site.

    3. You shall not resell, transfer, or distribute the Products to any third party who is not a licensed dental professional.

    4. You acknowledge that the Site may contain information, software, photos, video, text, graphics, music, sounds, questions, creative suggestions, messages, comments, feedback, ideas, notes, drawings, articles and other materials of Nobio or other third parties that are protected by copyrights, patents, trademarks, trade secrets or other proprietary rights. Such content, and any other content available for you through the Site, except User Content provided by you, may not be copied, modified, published, transmitted, or distributed, by you in any way, including without limitation through use on any other website or network.

    5. You may not use the Site and Products for any illegal purpose, or in violation of any applicable law, including without limitation laws governing intellectual property and other proprietary rights, data protection, privacy and labor laws, nor in any unauthorized way or in any manner inconsistent with their intended use by licensed dental professionals.

    6. We reserve the right to monitor some, all, or no areas of the Site for adherence to proper use of the Site or for any other purpose.

  7. USER CONTENT AND FEEDBACK

    1. You expressly agree that your use of the Site and any of your User Content will not: (1) be defamatory, libelous, abusive, or obscene, including, without limitation, include material which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local or international law; (2) infringe on the copyright or any other proprietary right of any third-party, and will only make use of information you own or have a right to use; or (3) be otherwise inappropriate or unlawful. You also warrant that, you are the exclusive holder of all rights in the User Content provided by you and you acknowledge and agree that any User Content provided by you is non-confidential and non-proprietary.

    2. By providing or otherwise transmitting User Content through the Site, you grant us and our successors and assigns a royalty-free, perpetual, irrevocable, transferable and fully sub licensable, non-exclusive right and license (as well as consent) to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, license, derive revenue or other remuneration from, communicate to the public, perform and display such content, in whole or in part, worldwide and/or to incorporate the content in other works in any form, media, or technology now known or later developed, with or without any attribution to you, as we deem fit in our sole discretion. For avoidance of doubt any derivatives made by us to the User Content (the “Derivatives”) shall be Nobio’s intellectual property. 

    3. You further acknowledge that we and our successors and assignees shall be entitled to unrestricted use of the Derivatives for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the User Content. None of the User Content shall be subject to any obligation of confidence on our part, and we shall not be liable for any use or disclosure of any User Content.

    4. Accordingly, you forever waive, and agree not to claim or assert, any entitlement to any and all moral rights of an author in any of the User Content; and you forever release us, and our licensees, successors and assignees, from any claims that you could otherwise assert against us by virtue of any such moral rights or due to the publication of User Content.

    5. In addition to the above, we also welcome any feedback or comments from you. However, please note in this regard that any unsolicited ideas, feedback or suggestions pertaining to our business and services, such as ideas for new or improved products, technologies, website or tool enhancements, processes, materials, marketing plans or new product names, will automatically upon submission become the property of Nobio, without any compensation to you. While under no obligation to review such submissions or to keep such submissions confidential, Nobio may use or redistribute any such submission and its contents for any purpose and in any way it deems.

  8. THIRD PARTY LINKS AND INFORMATION PROVIDED

    1. We do not guarantee that content that may be shared with you will not be offensive, defamatory or objectionable, or will not relate to links, website or other content that may be in violation of applicable laws or regulations. Although we reserve the right to remove without notice any content for any reason, we have no obligation to delete content which may be shared with you that you personally may find objectionable or offensive. In addition to other disclaimers found in these Terms, we do not endorse or make any warranties or representations with respect to the accuracy, completeness or timeliness of any content accessible via our Site.

    2. The Services contain information in the form of, but not limited to, links to third party websites, articles, advertisements, endorsements, third-party opinions, applications, or other third party materials (collectively, “Third Party Material”). We do not endorse any such Third Party Material and such information is solely provided as a convenience to our users. We do not assume any responsibility for the content, privacy policies, or practices of any third party providing Third Party Materials. By accessing our Services, you expressly relieve us from any liability arising from your use of any Third Party Material.

  9. INFRINGEMENT CLAIMS

    1. If you believe that your copyrights or other intellectual property rights have been violated, please notify us immediately at: maayan@nobio.com

    2. You must include in your notice a: (1) description of the copyrighted work that is the subject of claimed infringement, (2) description of the infringing material and information sufficient to allow us to locate the alleged material, (3) contact information for you, including your address, telephone number and email address, (4) statement by you that you have a good faith belief that the material in the manner complained of is not authorized by the copyright owner, or its agent, or by the operation of any law, (5) statement by you, signed under penalty of perjury, that the information in the notification is accurate and that you have the authority to enforce the copyrights that are claimed to be infringed, and (6) physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf.

    3. We will process notices of alleged copyright infringement and will take appropriate actions.

  10. RIGHT TO SHUT DOWN, DENY OR LIMIT ACCESS, REMOVE CONTENT

    1. We reserve the right to suspend or terminate your account or access to the Site at any time, in our sole discretion.

    2. We reserve the right to remove any User Content, which is abusive, illegal, disruptive, inappropriate or that otherwise fails to conform to our standards, and to limit or revoke your access in full or in part to the Site, in our sole discretion, at any time, and for any reason, including, but not limited to technical difficulties or violation of these Terms.

  11. NO WARRANTIES; DISCLAIMER

    1. You represent, warrant and covenant that: (a) you have the full right, power and authority to enter into and perform your obligations under these Terms, and such execution and performance does not and will not violate any other agreement to which you are a party, and (b) these Terms constitute your legal, valid and binding obligation.

    2. WE WARRANTS THAT THE PRODUCTS SHALL BE FREE FROM DEFECTS IN MATERIAL AND IN WORKMANSHIP PRIOR TO THEIR STATED EXPIRATION DATE. THIS LIMITED WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. USE OF THE PRODUCTS, THE SITE AND OTHER MATERIALS AND RELIANCE ON THE CONTENT AVAILBLE THROUGH THE SITE IS DONE SOLELY AT YOUR OWN RISK. NOBIO DISCLAIMS ANY AND ALL WARRANTIES RELATING TO THE PRODUCTS, THE SITE, THEIR CONTENT AND OTHER MATERIALS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE PRODUCTS COMPLIES WITH ALL APPLICABLE LAWS AND REGULATIONS.

    3. WITHOUT LIMITING THE ABOVE, WE MAKE NO WARRANTY WHATSOEVER WITH RESPECT TO (I) THE SITE MEETING YOUR REQUIREMENTS, OR BEING UNINTERRUPTED, CONTINUOUS, TIMELY, OR ERROR OR VIRUS FREE; (II) WHETHER YOUR USE OF THE PRODUCTS WILL GENERATE ANY RESULTS OR CONSEQUENCES; (III) WHETHER YOUR USE OF THE PRODUCTS AND/OR THE SITE IS LAWFUL IN ANY PARTICULAR JURISDICTION; (IV) THE PRODUCTS WILL BE OR WILL REMAIN AVAILABLE, IN GENERAL OR WITH RESPECT TO A CERTAIN COUNTRY.

    4. NOBIO MAKES NO SPECIFIC PROMISES OR WARRANTIES, EXPRESS OR IMPLIED, ABOUT THE PRODUCTS, THEIR RESULTS, INCLUDING THE FUNCTIONALITY AND THE RELIABILITY OF THE PRODUCTS.  

    5. In case that the Product is found by Nobio to be defective, your sole remedy will be limited to replacement of the defective Product, in accordance with Nobio's then current Return Merchandise Authorization policy. No cash refunds will be allowed for a returned Product. Nobio is not responsible for costs incurred for removal or placement of dental restorations, including labor, practice expenses, or pain and suffering. Replacement resulting from accident, neglect, abuse, or failure of supportive tooth or tissue structure is not covered under the terms of this warranty. Nobio will not be liable for any loss or damage, direct, consequential, special or otherwise, arising out of the application or use of or the inability to use the Product. Before using, you shall determine the suitability of the Products for the intended use and you assume all risk and liability whatsoever in connection therewith.

  12. PRIVACY

    1. You agree that we may collect and use data and related information as set forth in our Privacy Policy (including but not limited to technical information about your device, system and application software, and peripherals) to facilitate the provision of software updates, product support and other services to you (if any) related to the Site and Product, including the User Content provided by you. This information and any other information you provide through or related to your registration or use of the Site and Product will be treated by us in the manner described in our Privacy Policy. To learn more about how we store and process personal information, please refer to our Privacy Policy.

    2. According to privacy laws which may be applicable to you, as may be amended from time to time, you hereby acknowledge that you are not legally required to provide us with any personal information, and the provision of personal information is solely based on your free will. However you acknowledge that provisioning of such information is required for use of the Site and Product.

    3. We do not claim ownership of the personal information provided by you to us in the use of the Services, and we serve only as a Processor of such personal information. However, by using the Services and when you provide us with personal information and non-personal information, including the User Content, you hereby freely grant us an irrevocable, royalty-free, non-exclusive, unlimited license and specific informed consent to use and process the personal information and the non-personal information, including the User Content, and transfer it to third parties, in accordance with the terms of the Privacy Policy and these Terms.

  13. LIABILITIES AND INDEMNITIES

    1. You shall indemnify and hold harmless Nobio and its directors, officers, employees, representatives and agents ("Related Parties") against all demands, claims, actions, liabilities, losses, costs, damages or expenses whatsoever (including reasonable attorneys' fees) (“Damages“) asserted against, imposed upon or incurred by Nobio or any of its Related Parties resulting from or arising out of any breach of these Terms by you or arising and related to your use of the Site or Products.

    2. IN NO EVENT SHALL WE BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, OR ANY OTHER DAMAGES OR LOSSES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SITE OR PRODUCTS, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. SUBJECT TO FULL COMPLIANCE WITH THE APPLICABLE USE INSTRUCTIONS, IN THE EVENT THAT, DESPITE THE ABOVE, A COURT WITH VALID JURISDICTION OR OTHER COMPETENT AUTHORITY DECLARES THAT NOBIO IS IN ANY WAY LIABLE, IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES RELATED TO THE SUBJECT MATTER OF THESE TERMS EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE LIABILITY DURING HE TWELVE (12) MONTHS PERIOD PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

    3. THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION AND ELSEWHERE IN THESE TERMS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

  14. Confidentiality

    1. Each Party (“Disclosing Party”) may provide the other Party (“Receiving Party”) with proprietary and confidential information of the Disclosing Party (collectively “Confidential Information”) which includes, but is not limited to, product information, technical data, and pricing information.  Receiving Party agrees that it will use the Confidential Information of the Disclosing Party only as required to exercise its rights and obligations pursuant to these Terms and will not disclose the Confidential Information of the Disclosing Party during or after the termination of these General Terms to any third party without prior written approval from Disclosing Party.  Receiving Party will return all Confidential Information of Disclosing Party to Disclosing Party upon demand and, in any event, upon termination of Terms.

  15. MISCELLANEOUS

(i) The laws of the State of Israel, excluding its conflicts of law rules, govern these Terms and your use of the Services; any controversy, claim, or dispute in connection with, arising under, or related to these Terms shall be settled exclusively in the courts of Tel Aviv, Israel. Your use of the Services may also be subject to other local, state, national, or international laws. (ii) If any provision of these Terms is held to be invalid or contrary to law, then such provision shall be construed, as nearly as possible, to reflect the original provision and the other provisions will remain in full force and effect. (iii) A party’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. (iv) The section titles in these Terms are solely used for the convenience of reference and have no legal or contractual effect. (vi) We may assign these Terms to any third party at any time. (VII) Nobio shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, labor disputes, shortages, pandemics, supply chain interruptions, or government actions.
